Platform Terms & Conditions

Introduction

These Platform Terms & Conditions ("Terms") govern access to and use of the iATM Marketplace platform, including all related websites, applications, dashboards, APIs, portals, transaction systems, compliance workflows, escrow integrations, Digital Asset Receipt ("DAR") services, tokenized transaction infrastructure, smart contract functionality, and related services (collectively, the "Platform").

These Terms constitute a legally binding agreement between iATM Marketplace Inc., a Wyoming corporation ("iATM", "Company", "we", "our", or "us"), and each individual, business, institution, lender, escrow provider, introducing broker, agent, representative, or other party accessing or using the Platform ("User" or "Participant").

By registering for, accessing, or using the Platform, each User agrees to be bound by these Terms.

Platform Purpose

The Platform has been developed to facilitate commercial transactions, marketplace participation, compliance workflows, escrow-supported settlements, transaction management, financing activities, Digital Asset Receipt issuance, smart contract administration, tokenized transaction records, and related services.

iATM provides technology infrastructure designed to facilitate transparency, workflow automation, auditability, compliance administration, documentation management, and transaction coordination among marketplace participants.

The Platform is not intended to operate as a bank, broker-dealer, commodity dealer, futures commission merchant, investment adviser, investment company, clearinghouse, exchange, payment processor, escrow agent, legal adviser, accounting firm, or regulated financial institution unless expressly stated otherwise.

User Eligibility

Users must be at least eighteen (18) years of age and possess the legal capacity to enter binding agreements.

Business accounts may only be established by duly authorized representatives acting on behalf of a legally formed entity.

Users represent and warrant that they are not subject to sanctions restrictions, governmental prohibitions, export restrictions, trade restrictions, or other legal limitations that would prohibit use of the Platform.

iATM reserves the right to deny, restrict, suspend, or terminate access to any individual or entity at its sole discretion.

User Accounts

Access to certain Platform functionality requires registration and approval.

Users agree to provide accurate, complete, and current information at all times.

Users remain solely responsible for safeguarding login credentials, account access, authentication devices, security tokens, and passwords.

Users are responsible for all activity occurring through their accounts, whether authorized or unauthorized.

iATM reserves the right to suspend, limit, or terminate accounts where security concerns, compliance concerns, inaccurate information, misuse, fraud, or violations of these Terms are identified.

KYB, KYC and Compliance Obligations

All Users acknowledge that participation in the Platform may require completion of Know Your Customer ("KYC"), Know Your Business ("KYB"), Anti-Money Laundering ("AML"), sanctions screening, Politically Exposed Person ("PEP") screening, adverse media reviews, beneficial ownership verification, and other compliance procedures.

iATM reserves the right to request documentation, conduct enhanced due diligence, require additional verification, perform ongoing monitoring, and reassess participant eligibility at any time.

Users agree to cooperate fully with compliance reviews and provide all requested information promptly.

Failure to satisfy compliance requirements may result in delayed onboarding, transaction restrictions, suspension, termination, reporting obligations, or other actions deemed appropriate by iATM.

Marketplace Participation

The Platform may permit Users to submit offers, requests, product listings, commodity listings, transaction opportunities, financing requests, and related marketplace content.

Users are solely responsible for the accuracy, legality, completeness, and validity of all content submitted through the Platform.

iATM does not independently verify all marketplace information and makes no representations regarding the accuracy of marketplace content submitted by Users.

Users acknowledge that participation in marketplace activity involves commercial risk and that all counterparties should be independently evaluated through appropriate due diligence procedures.

Buyers and Sellers

Buyers and sellers remain solely responsible for negotiating, evaluating, documenting, approving, and performing transactions.

iATM does not guarantee product quality, availability, specifications, ownership, title, delivery, payment, regulatory compliance, or transaction completion.

All commercial terms remain solely between the transaction participants.

The Company shall not be responsible for disputes arising between buyers and sellers.

Introducing Brokers

Introducing Brokers may utilize the Platform to identify opportunities, facilitate introductions, support transaction origination, and monitor approved transactions.

Introducing Brokers do not possess authority to bind iATM, buyers, sellers, lenders, escrow providers, or other participants unless specifically authorized through separate written agreements.

Introducing Brokers remain responsible for complying with all applicable laws, regulations, and contractual obligations.

Lenders and Financing Participants

The Platform may permit lenders, financing providers, trade finance providers, and financial institutions to participate in transactions.

iATM does not act as a lender, financing provider, underwriter, guarantor, or credit provider.

All financing decisions remain solely with the applicable financing participant.

iATM does not guarantee repayment, collateral value, transaction performance, creditworthiness, or financing outcomes.

Escrow Services

The Platform may facilitate workflows involving independent escrow providers.

Unless expressly stated otherwise in separate written agreements, iATM does not act as an escrow agent and does not take custody of participant funds.

Escrow providers operate independently and remain solely responsible for their services, approvals, releases, and obligations.

Users acknowledge that escrow decisions remain subject to the governing escrow agreements and applicable law.

Digital Asset Receipts (DARs)

The Platform may create, issue, maintain, reference, or administer Digital Asset Receipts ("DARs").

DARs are intended to provide digital transaction records, workflow verification, auditability, settlement references, and transaction transparency.

Unless expressly stated in separate agreements, DARs do not independently create ownership rights, title rights, warehouse rights, security interests, beneficial interests, investment rights, or legal claims to underlying assets.

DARs are informational and evidentiary records and should not be interpreted as legal title documents unless specifically stated otherwise.

Tokenization and Smart Contracts

The Platform may utilize tokenized transaction records, blockchain technology, distributed ledger systems, smart contracts, and related technologies.

Tokenized records are intended to support workflow automation, transaction transparency, auditability, verification, and recordkeeping.

Unless expressly stated otherwise, tokenized transaction records are not securities, investment products, cryptocurrencies, speculative instruments, payment instruments, or financial products.

Smart contracts are intended to automate predefined transaction events and workflow activities. The legal rights and obligations of participants remain governed by the applicable contracts, transaction documents, and governing law.

User Content and Documentation

Users retain ownership of information, documents, transaction records, and content submitted through the Platform.

By submitting content, Users grant iATM a worldwide, non-exclusive, royalty-free license to store, process, display, transmit, analyze, verify, and utilize such content for purposes related to Platform operations.

Users represent and warrant that they possess all necessary rights and permissions to submit content through the Platform.

Users remain solely responsible for the legality, accuracy, authenticity, and completeness of submitted content.

Prohibited Conduct

Users shall not:

Violation of these provisions may result in immediate suspension or termination.

Regulatory Cooperation

iATM reserves the right to cooperate with regulators, courts, law enforcement agencies, governmental authorities, sanctions authorities, and other authorized entities.

Users acknowledge that information may be disclosed where required by law, court order, subpoena, regulatory request, compliance obligation, or legitimate law enforcement activity.

Suspension and Termination

iATM may suspend, restrict, limit, investigate, or terminate any account, transaction, listing, DAR, workflow, or Platform activity at any time where deemed necessary to protect the Platform, participants, regulatory compliance, or legitimate business interests.

Termination does not eliminate obligations incurred prior to termination.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, iATM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, ACCURACY, RELIABILITY, OR PERFORMANCE.

iATM DOES NOT GUARANTEE TRANSACTION COMPLETION, ESCROW OUTCOMES, FINANCING AVAILABILITY, DAR VALIDITY, TOKENIZATION OUTCOMES, SMART CONTRACT PERFORMANCE, OR USER CONDUCT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, iATM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF DATA, TRANSACTION FAILURES, LOST REVENUE, REPUTATIONAL HARM, BUSINESS INTERRUPTION, OR THIRD-PARTY ACTIONS.

IN NO EVENT SHALL iATM'S TOTAL LIABILITY EXCEED THE GREATER OF:

(A) FEES PAID TO iATM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

(B) ONE THOUSAND UNITED STATES DOLLARS (USD $1,000).

Indemnification

Users agree to defend, indemnify, and hold harmless iATM, its affiliates, directors, officers, employees, contractors, service providers, advisors, and agents from any claims, liabilities, losses, damages, costs, penalties, judgments, investigations, expenses, or legal fees arising from:

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Platform shall be exclusively resolved in the state or federal courts located within Wyoming.

Each User irrevocably submits to the jurisdiction of such courts.

Amendments

iATM reserves the right to amend, modify, replace, or update these Terms at any time.

Updated Terms may be published through the Platform, website, or other communications.

Continued use of the Platform following publication of revised Terms constitutes acceptance of the updated Terms.
